Terms of Service (Kairic, Inc.)

These Terms of Service (“Terms”) govern your access to and use of Kairic, Inc.’s Pika Vault and YieldPilot and related websites, dashboards, APIs, SDKs, and documentation (collectively, the “Services”). By using the Services, you agree to these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. “You” includes the entity and its authorized users.

  1. The Services

  • Pika Vault provides licensed, cross-chain vault infrastructure optimized for RWA/stablecoin strategies with predictable exits (e.g., “Fast,” “Standard,” and claim mechanics).

  • YieldPilot orchestrates treasury automation (e.g., reserve policies, sweeps, exit selection) on top of Pika Vault and third-party integrations you connect.

Kairic may update the Services from time to time, including adding or removing features, subject to these Terms.

  1. Eligibility; accounts

You must be at least 18 years old and legally able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

  1. Your data & compliance

You are responsible for:

  • The accuracy and legality of data you submit, including integration data from third parties.

  • Ensuring your use complies with applicable laws and policies (e.g., sanctions, KYC/KYB if you enable allowlisted flows).

  • Configuring treasury/exit policies appropriate to your risk tolerance and regulatory posture.

Our Privacy Policy describes how we handle personal information.

  1. Licenses & IP

4.1 Your content

You grant Kairic a non-exclusive, worldwide license to host, process, and display Your Content solely to provide the Services. You retain ownership of Your Content.

4.2 Kairic IP

The Services, documentation, and underlying software are owned by Kairic or its licensors. Except for rights expressly granted, Kairic reserves all rights, title, and interest.

4.3 Pika Vault business license

Pika Vault’s core engine is made available under a commercial/business license for production use; SDKs, ABIs, and sample code may be open-source or source-available under separate terms. You agree not to reverse engineer or circumvent license controls.

  1. Acceptable use

You will not:

  • Use the Services for unlawful, infringing, or deceptive purposes.

  • Interfere with or disrupt the Services or circumvent security.

  • Misrepresent performance metrics or SLAs to end users.

  • Submit malicious code or attempt unauthorized access.

  • Use the Services to evade sanctions or financial crime controls.

  1. Fees & taxes

If you purchase paid features or a commercial license, you agree to pay fees specified in an order form or online plan. Fees are exclusive of taxes; you are responsible for applicable taxes, excluding Kairic’s income taxes.

  1. Third-party services & blockchain risks

  • Third-party services (e.g., Stripe, Shopify, custodians, issuers, analytics) are provided by others and governed by their terms. Kairic is not responsible for their acts or omissions.

  • Blockchain & market risks: on-chain settlement and RWA strategies involve latency, network failures, de-pegs, issuer pauses, and other risks. Returns are not guaranteed. You acknowledge and accept these risks.

No investment advice. The Services are software tools. Kairic does not provide investment, legal, tax, or accounting advice.

  1. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, Kairic DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Kairic does not warrant that the Services will be uninterrupted, secure, or error-free, or that outcomes will meet your requirements.

  1. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Kairic, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. Kairic’s AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO Kairic IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $1,000.

Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the maximum extent permitted by law.

  1. Indemnification

You will indemnify and hold Kairic harmless from any claims, damages, liabilities, and expenses arising from: (i) Your Content or integrations; (ii) your breach of these Terms; (iii) your violation of law or third-party rights; (iv) misuse of the Services.

  1. Term; suspension; termination

These Terms remain in effect until terminated. You may stop using the Services at any time. We may suspend or terminate access for breach, legal/compliance risk, security concerns, or non-payment. Upon termination, your right to access the Services ceases, but provisions that by their nature should survive (e.g., fees, IP, disclaimers, limitations of liability, indemnity) will survive.

  1. Modifications

We may modify these Terms. Material changes will be posted with a new Effective Date. Continued use after changes constitutes acceptance.

  1. Governing law; dispute resolution

These Terms are governed by the laws of [Governing State/Country], excluding conflict-of-laws rules. Arbitration (optional template): Any dispute will be resolved by binding arbitration in [City, State/Country] under the rules of [Arbitration Body]. YOU WAIVE CLASS ACTIONS. If you prefer court jurisdiction, replace with forum/venue language.

  1. Export & sanctions

You represent you are not located in, under the control of, or a national/resident of any country or person subject to sanctions and that you will not use the Services in violation of export laws.

  1. Notices

Notices to Kairic: legal@kairic.com with a copy to [Postal Address]. Notices to you: via the Service UI, email, or your account contact.

  1. Miscellaneous

If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without Kairic’s consent; Kairic may assign in connection with a merger, acquisition, or sale. No waiver is implied by any delay or failure to enforce.
